AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and All Access Dietitians, LLC (“we,” “us,” or “our”), concerning your access to and use of the allaccessdietitians.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, you are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and deemed to have accepted, any changes in the revised Terms and Conditions by your continued use of the Site after such revisions are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

Accordingly, users who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if applicable.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for the Site.

SMS

We communicate via SMS for client use only. You have the ability to opt out of messages at any time by replying with “STOP.” We will only use your number to communicate for the purpose of appointment confirmations, reminders, and other information related to appointments and billing. Message and data rates per your carrier apply.

All Access Dietitians, LLC sends messages primarily between employees and clients to remind them of upcoming appointments and facilitate communication between sessions. Clients can opt in to receive text messages through several methods: by texting “START,” completing intake forms (paper or digital), or providing verbal consent during scheduling. Clients are verbally informed that “Message and data rates may apply,” “Message frequency may vary,” and they can “text HELP for support or STOP to unsubscribe at any time.” On average, clients can expect to receive 2-3 messages per month.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and all content — including source code, databases, functionality, software, website design, audio, video, text, photographs, and graphics (collectively, the “Content”) — as well as the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us and are protected by copyright, trademark, and other intellectual property laws of the United States and international conventions.

The Content and Marks are provided “AS IS” for your personal, non-commercial use only. Except as expressly stated in these Terms and Conditions, no part of the Site or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, or otherwise exploited for any commercial purpose without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content for your personal, non-commercial use. All rights not expressly granted are reserved by us.

USER REPRESENTATIONS

By using the Site, you represent and warrant that:
(1) All registration information you submit will be true, accurate, current, and complete;
(2) You will maintain the accuracy of such information;
(3) You have the legal capacity and agree to comply with these Terms;
(4) You are not a minor in your jurisdiction (or have parental permission to use the Site);
(5) You will not access the Site through automated or non-human means;
(6) You will not use the Site for any illegal or unauthorized purpose; and
(7) Your use of the Site will not violate any applicable law or regulation.

If any information provided is inaccurate or incomplete, we reserve the right to suspend or terminate your account and deny current or future use of the Site.

PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those specifically approved by us in writing.

As a user of the Site, you agree not to:

  1. Systematically retrieve data or other content from the Site to create, compile, or collect, directly or indirectly, a database or directory without our written permission.

  2. Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content.

  3. Engage in unauthorized framing of or linking to the Site.

  4. Make improper use of our support services or submit false reports of abuse or misconduct.

  5. Use the Site to advertise or offer to sell goods and services without our prior written approval.

  6. Cheat, defraud, or mislead other users, particularly in any attempt to obtain personal information.

  7. Use any information obtained from the Site to harass, abuse, or harm another person.

  8. Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.

  9. Attempt to impersonate another user or person or use the username of another user.

  10. Sell or transfer your profile.

  11. Use any automated system (including scripts, bots, or scrapers) to access the Site.

  12. Use the Site as part of any effort to compete with us or to create a product or service that is similar to or substitutes for the Site.

  13. Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, spam, excessive messaging, or any other material that interferes with the operation or security of the Site.

  14. Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

  15. Use the Site in a manner inconsistent with any applicable laws or regulations.

USER GENERATED CONTRIBUTIONS, CONTRIBUTION LICENSE, GUIDELINES FOR REVIEWS, SUBMISSIONS, THIRD-PARTY WEBSITES AND CONTENT, SITE MANAGEMENT

The Site may invite you to submit content, including but not limited to comments, posts, feedback, suggestions, ideas, questions, reviews, or other material (“Contributions”). Contributions may be visible to other users and through third-party websites.

By submitting Contributions, you represent and warrant that:

  1. Your Contributions are not false, inaccurate, misleading, defamatory, or obscene.

  2. Your Contributions do not violate any third-party intellectual property rights.

  3. You have the legal right to upload, share, or distribute such Contributions.

  4. Your Contributions do not include any unsolicited promotions, advertisements, or spam.

  5. Your Contributions do not violate any applicable law, regulation, or professional privacy/confidentiality standard.

We are not responsible for any statements or information in user Contributions. You are solely responsible for your Contributions and agree to indemnify and hold us harmless from any liability that arises from your posted content.

PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy for information on how we collect, use, and safeguard your data.

By using the Site, you agree to our Privacy Policy, which is incorporated into these Terms.

No gathered mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

If you access the Site from outside the United States, you acknowledge that your data will be transferred to and processed in the U.S.

We do not knowingly collect or solicit information from children under 13. If such information is discovered, it will be deleted promptly in compliance with the U.S. Children’s Online Privacy Protection Act (COPPA).

TERM AND TERMINATION

These Terms remain in full force while you use the Site. We reserve the right, in our sole discretion and without notice, to deny access to or terminate use of the Site for any reason, including violations of these Terms or applicable laws.

We may also delete your account and any associated content at any time. If terminated, you are prohibited from registering again under a different name or entity. We may also pursue legal action if warranted.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, update, or discontinue any part of the Site at any time without notice. We will not be liable for any modification, suspension, or discontinuance of the Site.

We cannot guarantee the Site will be available at all times and are not liable for any downtime or service interruptions.

GOVERNING LAW

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

DISPUTE RESOLUTION

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in DuPage County, Illinois, and both parties consent to the jurisdiction of such courts and waive all defenses of lack of personal jurisdiction and forum non conveniens.

MISCELLANEOUS

These Terms and Conditions and any policies or operating rules posted by us on the Site constitute the entire agreement between you and us. Our failure to enforce any right or provision does not constitute a waiver.

If any provision is found unlawful or unenforceable, the remaining provisions remain in effect.

These Terms will not be construed against us as the drafter. You agree to the use of electronic signatures and records in connection with these Terms.
